Allgemeine Geschäftsbedingungen (AGB) Nil Filmhaus Berlin – Sait Tarakcioglu

TEIL A: Allgemeine Bestimmungen (Gilt für alle Verträge)

§ 1 Geltungsbereich (1) Diese AGB gelten für alle Geschäftsbeziehungen zwischen Nil Filmhaus – Sait Tarakcioglu, Wallstraße 35, 10179 Berlin (nachfolgend „Auftragnehmer“) und dem Kunden (nachfolgend „Auftraggeber“ oder „Teilnehmer“). (2) Das Angebot umfasst Workshops/Seminare sowie filmische Dienstleistungen (Videoproduktion, Schnitt, Beratung).

§ 2 Vertragsschluss (1) Workshops (Direktbuchung): Der Vertrag kommt durch die Anmeldung (per E-Mail oder Formular) und die anschließende schriftliche Bestätigung (Rechnung) durch den Auftragnehmer zustande. (2) Workshops (Drittanbieter): Bei Buchung über externe Ticketplattformen (z. B. Eventim) gelten für den Kaufabwicklungsprozess und das Ticket selbst ausschließlich die AGB des jeweiligen Plattformbetreibers. (3) Filmproduktion: Der Vertrag kommt durch die schriftliche Annahme eines Angebots oder durch eine Auftragsbestätigung per E-Mail zustande.

§ 3 Zahlungsbedingungen & Zusatzkosten (1) Rechnungen sind sofort nach Erhalt ohne Abzug zahlbar. (2) Produktionsaufträge: Soweit nicht anders vereinbart, ist eine Anzahlung von 50% der Auftragssumme bei Auftragserteilung fällig. (3) Zusatzkosten: Reisekosten (Fahrt, Hotel), Spesen, Requisiten, Location-Mieten oder GEMA-Gebühren sind nicht im Angebotspreis enthalten und werden gesondert berechnet, sofern nicht ausdrücklich anders vereinbart.

§ 4 Haftung (1) Der Auftragnehmer haftet unbeschränkt nur für Vorsatz und grobe Fahrlässigkeit. (2) Für leichte Fahrlässigkeit haftet der Auftragnehmer nur bei Verletzung wesentlicher Vertragspflichten (Kardinalpflichten). In diesem Fall ist die Haftung auf den vertragstypischen, vorhersehbaren Schaden begrenzt. (3) Für die Garderobe und persönliche Gegenstände der Workshop-Teilnehmer wird keine Haftung übernommen.

§ 5 Hausrecht & Verbot von Aufnahmen (1) In den Räumlichkeiten des Nil Filmhaus sowie an gemieteten Workshop-Locations gilt das Hausrecht des Auftragnehmers. Den Weisungen ist Folge zu leisten. (2) Das Anfertigen von Video- oder Tonaufnahmen während der Workshops ist ohne ausdrückliche Genehmigung strikt untersagt.

TEIL B: Besondere Bedingungen für Workshops

§ 6 Stornierung durch den Teilnehmer Da die Workshop-Plätze begrenzt sind, gelten bei Direktbuchungen folgende Stornierungsbedingungen:

Bis 30 Tage vor Veranstaltungsbeginn: Kostenfreie Stornierung.
Bis 14 Tage vor Veranstaltungsbeginn: 50% der Teilnahmegebühr werden fällig.
Ab 13 Tagen vor Beginn oder bei Nichterscheinen: 100% der Teilnahmegebühr werden fällig. Der Teilnehmer ist berechtigt, einen Ersatzteilnehmer zu stellen.

§ 7 Absage durch den Veranstalter Der Auftragnehmer behält sich vor, Workshops bei zu geringer Teilnehmerzahl oder aus wichtigem Grund (z. B. Krankheit des Dozenten) abzusagen. In diesem Fall wird die bereits entrichtete Teilnahmegebühr vollständig erstattet. Weitergehende Ansprüche (z. B. Reise- oder Übernachtungskosten) sind ausgeschlossen.

§ 8 Urheberrecht (Workshops) Die ausgehändigten Workshop-Unterlagen sind urheberrechtlich geschützt und dürfen nicht ohne Zustimmung vervielfältigt oder weitergegeben werden.

TEIL C: Besondere Bedingungen für Filmproduktionen

§ 9 Produktionsablauf & Rechte (1) Wetterrisiko: Bei Außenaufnahmen trägt der Auftraggeber das Risiko wetterbedingter Verschiebungen (Wetterrisiko), sofern nicht anders vereinbart. Hierdurch entstehende Mehrkosten trägt der Auftraggeber. (2) Rohmaterial: Das Urheberrecht und das Eigentum an den offenen Projektdateien und dem Rohmaterial (Raw Footage) verbleiben beim Auftragnehmer. Der Auftraggeber erhält nur das Nutzungsrecht am fertigen Endprodukt. Die Herausgabe von Rohdaten erfolgt nur gegen gesonderte Vergütung (Buy-out). (3) Korrekturen: Im Preis sind, sofern nicht anders vereinbart, zwei Korrekturschleifen enthalten. Weitere Änderungswünsche werden nach Stundenaufwand berechnet.

§ 10 Kündigung des Auftrags (Produktion) Kündigt der Auftraggeber einen vereinbarten Produktionstermin kurzfristig (weniger als 48 Stunden vor Drehbeginn), ohne dass ein wichtiger Grund vorliegt, wird das vereinbarte Honorar zu 100% fällig, da das Team und die Technik für diesen Zeitraum geblockt wurden.

TEIL D: Schlussbestimmungen

§ 11 Gerichtsstand & Salvatorische Klausel (1) Es gilt das Recht der Bundesrepublik Deutschland. (2) Gerichtsstand ist, soweit gesetzlich zulässig, Berlin. (3) Sollte eine Bestimmung dieser AGB unwirksam sein, bleibt der Vertrag im Übrigen wirksam.

General Terms and Conditions (GTC) Nil Filmhaus Berlin – Sait Tarakcioglu

PART A: General Provisions

§ 1 Scope (1) These GTC apply to all business relationships between Nil Filmhaus – Sait Tarakcioglu (hereinafter "Contractor") and the customer ("Client" or "Participant"). (2) The offer includes workshops/seminars as well as film services (video production, editing, consulting).

§ 2 Conclusion of Contract (1) Workshops (Direct Booking): The contract is formed by registration (e-mail/form) and subsequent written confirmation (invoice) by the Contractor. (2) Workshops (Third Party): For bookings via external ticket platforms (e.g., Eventim), the GTC of the respective platform operator apply exclusively to the ticket purchase process. (3) Film Production: The contract is concluded by the written acceptance of an offer.

§ 3 Payment Terms & Additional Costs (1) Invoices are payable immediately upon receipt without deduction. (2) Production Orders: Unless otherwise agreed, a down payment of 50% is due upon placement of the order. (3) Additional Costs: Travel expenses (travel, hotel), per diems, props, location rentals, or GEMA fees are not included in the offer price and will be charged separately unless explicitly agreed otherwise.

§ 4 Liability (1) The Contractor is liable without limitation only for intent and gross negligence. (2) For slight negligence, liability is limited to the breach of essential contractual obligations and to foreseeable damages typical for the contract. (3) No liability is assumed for the wardrobe and personal belongings of workshop participants.

§ 5 House Rules & Recording Ban (1) The Contractor's house rules apply on the premises of Nil Filmhaus and at rented workshop locations. Instructions must be followed. (2) Video or audio recording during workshops is strictly prohibited without express permission.

PART B: Special Conditions for Workshops

§ 6 Cancellation by Participant As workshop spots are limited, the following cancellation fees apply for direct bookings:

Up to 30 days before the event: Free of charge.
Up to 14 days before the event: 50% of the fee.
From 13 days before the start or in case of no-show: 100% of the fee. You may designate a substitute participant at any time.

§ 7 Cancellation by Organizer The Contractor reserves the right to cancel workshops due to insufficient number of participants or for important reasons (e.g., illness of the lecturer). In this case, fees already paid will be fully refunded. Further claims (e.g., travel costs) are excluded.

§ 8 Copyright (Workshops) Workshop materials provided are protected by copyright and may not be reproduced or passed on without consent.

PART C: Special Conditions for Film Production

§ 9 Production Process & Rights (1) Weather Risk: For outdoor shoots, the Client bears the risk of weather-related postponements unless otherwise agreed. Additional costs arising from this shall be borne by the Client. (2) Raw Material: Copyright and ownership of open project files and raw footage remain with the Contractor. The Client only receives the right of use for the final product. Raw data is only released for an additional fee (Buy-out). (3) Revisions: Two revision rounds are included in the price unless otherwise agreed. Further changes will be charged on an hourly basis.

§ 10 Cancellation of Order (Production) If the Client cancels a scheduled production date at short notice (less than 48 hours before the start of the shoot) without a valid reason, 100% of the agreed fee will be due.

PART D: Final Provisions

§ 11 Place of Jurisdiction (1) The law of the Federal Republic of Germany applies. (2) The place of jurisdiction is Berlin. (3) Should any provision of these GTC be invalid, the remainder of the contract shall remain valid.
